Limited liability partnership
Agreement with no legal personality between two or more partners to run a business. There is no distinction between business assets and personal assets (no ‘separate estate’). The partners make an agreement about who has what authority, usually in the form of a contract (partnership articles). An authorised partner may enter into agreements on behalf of the partnership, thus binding fellow partners. Partners are jointly liable and liable severally for the business.
